1. Acceptance of Terms

By accessing morgansystems.org, the official website of Morgan Systems Consulting Ltd. (aka. Morgan Systems), or purchasing or using our digital assets or consulting services, you agree to be bound by these Terms of Service.

2. Scope of Services & Digital Products (aka. Digital Assets)

Morgan Systems provides IT consulting, software integration, and pre-configured HighLevel Snapshots.

• Snapshots: We provide the technical framework and automation templates. Morgan Systems does not provide leads. Your results depend entirely on your own marketing and sales execution.

• Consulting: Any additional setup or customization is governed by a separate service agreement.

3. Affiliate Relationship Disclosure

Disclosure: I am an independent affiliate for HighLevel. I receive referral payments from HighLevel at no extra cost to you if you purchase through links on this site. Morgan Systems is not an employee or official representative of HighLevel.

4. Fees and Payment

• Digital Products: Due to the nature of digital "Snapshots," which are instantly accessible, all sales are final and non-refundable once the Snapshot link has been delivered. However, most of our snapshots are offered for free when you signup for a free trial of HighLevel using our affiliate links.

• Consulting: Fees are due within 30 days of the invoice date.

5. Intellectual Property & Licensing

Upon purchase, you are granted a non-exclusive license to use the Snapshot within your own HighLevel sub-account. You may not resell, redistribute, or share the Snapshot link with third parties.

6. Limitation of Liability

Morgan Systems is not liable for technical issues within the HighLevel platform or for any loss of revenue resulting from the use of our snapshots. Our liability is limited to the amount paid for the specific product or service, if any.

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of our Services or Digital Assets like snapshots, even if we have been advised of the possibility of such damages.

We make no warranties regarding the completeness, reliability, or accuracy of our content. We disclaim all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability, and fitness for a particular purpose.

Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7. Disclaimers

Morgan Systems and any products and services provided through morgansystems.org are provided on an “as is” and “as available” basis. Morgan Systems expressly disclaims all warranties of any kind, whether express or implied for any of the products, digital assets, or services. By using this website, you agree that the exclusions and limitations of liability set out are reasonable. If you do not think they are reasonable, you must not use this website.

8. Indemnification

You agree to indemnify, defend, and hold harmless Morgan Systems Consulting Ltd and morgansystems.org, along with its affiliates and their respective representatives, from any and all claims, liabilities, damages, and costs, including reasonable attorneys’ fees, that arise from the use of content produced by our morgansystems.org. This indemnification obligation also covers any claims or damages that arise from the use of third-party tools or resources we recommend.

9. Links to Third-Party Sites

morgansystems.org may occasionally include links or direct users to third-party websites, including but not limited to affiliate links. We are not responsible for the content or practices of these sites.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of British Columbia, Canada. Any legal action brought against Morgan Systems Consulting Ltd. by another party must be conducted in the courts of Vancouver, British Columbia, Canada. However, Morgan Systems reserves the right to pursue legal action as a plaintiff in other jurisdictions if deemed necessary.
